These Terms of Service / Terms & Conditions (“Terms,” “Agreement”) govern all access to, use of, and engagement with the services, websites, platforms, personnel, and deliverables provided by KSU Alliances Services Private Limited (“KSU Alliances Services Private Limited,” “Company,” “we,” “us,” or “our”).

By accessing our website, submitting an inquiry, executing a Statement of Work (“SOW”), engaging a Virtual Assistant, or otherwise using our services (collectively, the “Services”), you (“Client,” “Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Legal Status & Authority

You represent and warrant that:

You are at least 18 years of age
You have full legal capacity to enter into binding agreements
If acting on behalf of an organization, you are authorized to bind that organization

Unauthorized use of the Services is strictly prohibited.

Definitions

Services: Virtual Assistant services, outsourcing, offshoring, remote staffing, administrative and operational support
Virtual Assistant (VA): Any employee, contractor, or assigned resource of KSU Alliances Services Private Limited
Client Data: All data, credentials, instructions, documents, and materials provided by the Client
Deliverables: Work outputs produced during the Services
Confidential Information: Non-public or proprietary information
Statement of Work (SOW): Written scope or agreement
Website: All platforms operated by KSU Alliances Services Private Limited

Scope & Nature of Services

Business Support Services Only

KSU Alliances Services Private Limited provides administrative and operational support only.

We do NOT provide:

Legal advice
Financial or tax advice
Medical advice
Compliance decisions
Professional advisory services

All deliverables must be independently reviewed by the Client.

No Delegation of Responsibility

Engaging KSU Alliances Services Private Limited does not:

Transfer legal responsibility
Replace internal controls
Substitute professional judgment

The Client remains fully responsible for all decisions and compliance.

Client Responsibilities

The Client agrees to:

Provide accurate and lawful instructions
Ensure authority to share data
Maintain supervision
Grant limited system access
Review all deliverables
Maintain security controls
Comply with laws

KSU Alliances Services Private Limited is not liable for:

Incorrect instructions
Client delays
System failures under client control
Unauthorized access granted by the client

Client Data, Ownership & Processing

Ownership

All Client Data remains the Client’s property.

Processing Role

KSU Alliances Services Private Limited acts as a service provider/processor only.

Credentials & Access

The Client is responsible for:

Managing credentials
Granting/revoking access
System security

Confidentiality

Mutual Obligations

Both parties must:

Protect confidential data
Limit access
Use data only as agreed

Survival

Confidentiality continues even after termination.

Security, Remote Work & Risks

KSU Alliances Services Private Limited uses:

Access controls
Confidentiality agreements
Security training
Incident response

However:

No system is 100% secure
Cyber risks exist
Client-side security is client responsibility

Fees, Billing & Payment

Fees

Defined in:

SOW
Proposals
Invoices

Payment Terms

Fees must be paid on time
Late payments may suspend services
Fees are non-refundable unless agreed

Taxes

Client is responsible for all taxes.

Term, Suspension & Termination

Term

Agreement continues until terminated.

Suspension

Services may be suspended for:

Non-payment
Security risks
Legal concerns

Termination

Either party may terminate:

With notice
For breach
If required by law

Effect of Termination

Upon termination:

Services stop
Access revoked
Fees remain due
Legal clauses survive

Intellectual Property

Client Materials

Client retains ownership.

Work Product

Client owns deliverables
KSU Alliances Services Private Limited retains tools & methods

Third-Party Services

KSU Alliances Services Private Limited is not responsible for:

Third-party outages
Policy changes
Security issues

Warranties & Disclaimers

Services are provided “AS IS”.

No guarantees for:

Accuracy
Fitness
Availability

Limitation of Liability

No indirect or consequential damages
Liability limited to fees paid in last 12 months

Indemnification

Client agrees to protect KSU Alliances Services Private Limited from claims due to:

Misuse
Data violations
Legal breaches
Unauthorized access

Compliance with Laws

Both parties must follow:

Data protection laws
Labor laws
Anti-corruption laws
Export laws

Force Majeure

No liability for events beyond control (e.g., disasters, outages).

Subcontracting & Assignment

KSU Alliances Services Private Limited may subcontract
Client cannot assign without permission

Governing Law & Jurisdiction

Governed by laws of Ohio, USA Jurisdiction: Ohio courts

Dispute Resolution

Parties agree to attempt resolution before legal action.

Modifications to Terms

Terms may be updated. Continued use = acceptance.

Severability

Invalid clauses do not affect the rest.

Entire Agreement

This is the full agreement unless replaced by SOW.
